II. Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Ezbuy Japan’s website and services. By using the services, you acknowledge that you have read, understood, and agreed to these Terms.

 

1. Scope of application

These Terms apply to the services provided by Ezbuy Japan on ezbuy.jp, including but not limited to: logistics services, fulfillment, warehousing, order processing, packing, labeling, handover to carriers, and value-added services (if any).

These Terms are intended for business customers (B2B) and partners who use the services for commercial purposes.

 

2. Definitions

- “Services”: logistics/fulfillment services provided by Ezbuy Japan.
- “Customer”: an organization/individual using the Services.
- “Third Party”: carriers, payment processors, customs, government authorities, and other relevant partners.
- “Service Fees”: fees charged by Ezbuy Japan for the Services; excluding Third Party charges/invoices unless explicitly stated.

 

3. Conditions of service use

The Customer agrees to:

- Provide accurate, complete, and up-to-date registration and transaction information.
- Use the Services for lawful purposes and comply with applicable regulations and published policies on the website.
- Not use the Services for prohibited/restricted goods or goods without valid supporting documentation.

Ezbuy Japan reserves the right to refuse service if compliance risk, fraud risk, or unclear/inconsistent information is identified.

 

4. Account and security

The Customer is responsible for safeguarding login credentials and all activities performed under the account.
If unauthorized access is suspected, the Customer must notify Ezbuy Japan promptly for support and investigation.

 

5. Service requests and implementation confirmation

Any service request (processing, warehousing, packing, shipping, etc.) is only considered valid when:

- The required operational information is fully provided; and
- Ezbuy Japan confirms receipt/implementation in accordance with internal procedures.

Ezbuy Japan may request additional information/documents to verify validity before starting execution.

 

6. Service fees and payment

- Service Fees are calculated based on quotations, fee schedules, invoices, or written agreements for each engagement.
- The Customer must pay on time according to the invoice/fee notice.
- Ezbuy Japan may suspend Services in case of overdue payment or potential risk signals.

Non-refundable fee notice: Payment processing fees, banking fees, and transfer fees may be non-refundable because they are incurred at the time the transaction is processed.

 

7. Taxes, fees, and Third-Party charges

Taxes/customs duties, inspection fees, carrier charges, route surcharges, storage/handling fees, and other Third-Party charges (if any) may apply depending on shipment and route. These are typically not included in Service Fees unless otherwise agreed.

The Customer acknowledges that Ezbuy Japan does not control and does not guarantee Third-Party fee levels or processing timelines.

 

8. Prohibited/restricted goods and documentation

The Customer is responsible for ensuring that goods:

- Are not prohibited/restricted under applicable laws and published policies;
- Have valid documentation required for the route/customs;
- Are declared accurately (contents, quantity, value, and other required details).

If goods are held, seized, destroyed, or additional costs arise due to prohibited goods, missing/incorrect documentation, or misdeclaration, the Customer bears all related costs and risks.

 

9. Customer responsibilities

The Customer agrees to:

- Provide clear and timely operating instructions;
- Respond within a reasonable time when Ezbuy Japan requests verification;
- Be responsible for the legality of goods, trademarks/brands, content, and attached materials.

 

10. Service commitment limitations

Ezbuy Japan works to deliver stable and transparent Services. However, unless there is a separate written commitment:

- Processing time, shipping time, and operational metrics are estimates based on actual conditions;
- Ezbuy Japan does not guarantee shipping timelines because outcomes depend on Third Parties and factors outside Ezbuy Japan’s control (customs, weather, route disruptions, random inspections, etc.).

 

11. Limitation of liability

To the extent permitted by law:

- Ezbuy Japan is not liable for indirect damages (lost profits, lost revenue, data loss, business interruption).
- If liability applies, Ezbuy Japan’s total liability for a specific claim generally does not exceed the total Service Fees paid by the Customer for the relevant Services during the dispute period, unless otherwise agreed in writing.

 

12. Force majeure

Ezbuy Japan is not responsible for delays or failure to perform caused by force majeure events such as: natural disasters, epidemics, war, policy changes, strikes, logistics disruptions, widespread system incidents, or government actions.

 

13. Suspension, refusal, or termination of service

Ezbuy Japan may suspend or terminate Services if:

- Fraud, abuse, or compliance risks are detected;
- The Customer breaches these Terms;
- The Customer is overdue on payment or fails to cooperate in providing valid documentation.

Termination does not waive any payment obligations or costs incurred prior to termination.

 

14. Intellectual property

Website content, materials, images, layouts, trademarks, and related assets are owned by Ezbuy Japan or its licensors. The Customer may not copy, distribute, or exploit these materials without prior written consent.

 

15. Dispute resolution

The Customer is encouraged to contact Ezbuy Japan first for reconciliation and good-faith resolution. If settlement cannot be reached, disputes will be handled through an appropriate mechanism under the applicable laws.

 

16. Updates and order of precedence

Ezbuy Japan may update these Terms from time to time. The latest version published on the website will apply.

If there is any conflict between these Terms and written commercial documents for a specific engagement (e.g., service proposal, scope description, quotation, invoice), the written commercial documents will prevail for that engagement.
